Terms of Service

Note: These are working terms for a B2B engineering services business. Have them reviewed by a lawyer before relying on them in a dispute or for compliance with a specific regulatory regime. Engagement-specific terms are governed by the Master Services Agreement (MSA) signed at the start of each project, which supersedes this document for paying clients.
These Terms of Service govern your access to and use of the Norstride website and any content we make available through it. Please read them carefully. By accessing or using the website, by downloading the playbook, or by contacting us through the website, you agree to be bound by these Terms. If you do not agree, do not use the website.
1. Who we are
1.1 References to "we," "us," "our," or "Norstride" in these Terms are to Norstride Inc. (incorporated August 2012, D-U-N-S 079322774), located in Cheyenne, WY 82001, USA. Email: hello@norstride.com. Phone: +1-904-558-0003.
1.2 References to "you," "your" mean any individual or entity that accesses or uses the website, downloads the playbook, or otherwise interacts with Norstride through the website.
2. The website and what it is
2.1 The website (norstride.com and any subdomain we operate, the "Site") is an informational marketing site for Norstride's engineering services. The Site:
- describes who we are, what we build, and how we work;
- publishes essays and notes in
/insights/; - offers a free downloadable PDF playbook;
- provides ways to contact us about a potential engagement.
2.2 The Site does not host a consumer-facing application, does not provide a paid SaaS service, does not collect payment, and does not create an account or login. Information on the Site does not constitute an offer to enter into a contract, a quote, a fixed scope, or any guarantee about a future engagement.
2.3 If we agree to work together, the engagement will be governed by a separately negotiated and signed Master Services Agreement (MSA) and Statement of Work (SOW), with a Data Processing Addendum (DPA) where personal data is involved. Those documents — not these Terms — govern the engagement, and prevail over these Terms in case of conflict.
3. Eligibility and acceptable use
3.1 The Site is intended for adults (16 years or older, or the equivalent minimum age in your jurisdiction). By using the Site, you confirm that you meet that minimum age and that you have the legal capacity to agree to these Terms.
3.2 You agree not to:
- (a) attempt to gain unauthorized access to any part of the Site, the underlying servers, or our infrastructure;
- (b) probe, scan, or test the vulnerability of the Site, or breach or attempt to breach any security or authentication measure, without our prior written permission;
- (c) introduce viruses, worms, malware, ransomware, or any other malicious or technologically harmful material;
- (d) use the Site to send spam, phishing messages, chain letters, or unsolicited bulk communications;
- (e) impersonate another person, misrepresent your affiliation with any person or entity, or use a false email address in any contact form or message;
- (f) scrape, harvest, mass-download, or otherwise systematically collect content or data from the Site for the purpose of building a competing product, training a generative model without permission, or selling or redistributing that data;
- (g) frame the Site, copy its visual design, or use the Norstride name, logo, or slogan in a way likely to cause confusion as to source, sponsorship, or endorsement;
- (h) interfere with the proper operation of the Site or impose an unreasonable load on it;
- (i) use the Site to transmit content that is unlawful, defamatory, hateful, infringing, or that violates any third party's privacy or other rights;
- (j) use the Site in any way that violates applicable law or regulation, or that violates these Terms.
3.3 We may suspend or block access to the Site for any visitor or IP address that we reasonably believe is in breach of this Section 3, with or without notice.
4. The playbook and downloadable content
4.1 We make a free PDF playbook available on the Site (the "Playbook"). The Playbook is provided for your personal and internal business use. We grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to download, store, and read the Playbook for those purposes.
4.2 You may share a link to the Playbook download page (https://norstride.com/#playbook or the direct PDF URL) with colleagues. You may quote short excerpts from the Playbook in articles, reviews, or commentary with clear attribution to Norstride and a link back to the Site.
4.3 You may not, without our prior written permission:
- (a) republish the Playbook in whole or in substantial part on another website, in a book, in a course, in a paid product, or in any newsletter or feed;
- (b) modify, translate, or create derivative works of the Playbook;
- (c) sell, license, or distribute the Playbook or any derivative for a fee;
- (d) remove or alter any copyright notice, attribution, or trademark on the Playbook;
- (e) use the Playbook or any excerpt to train a machine-learning model.
4.4 The Playbook describes general patterns and frameworks. It is provided for informational purposes and does not constitute engineering, legal, financial, or other professional advice for your specific situation.
5. Intellectual property
5.1 All content on the Site — including the copy, code, design system, color palette, layout, illustrations, logos, photographs, articles, the Playbook, and any other materials — is owned by Norstride Inc. or its licensors and is protected by United States and international copyright, trademark, trade-dress, and other intellectual-property laws.
5.2 Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and view the Site for your personal and internal business use. No other rights are granted by implication, estoppel, or otherwise.
5.3 You may quote short excerpts from articles in /insights/ for journalistic, academic, or commentary purposes with attribution to Norstride and a link back to the original article. You may not republish the full text of any article, the Playbook, or any other long-form content without our prior written permission.
5.4 The names "Norstride" and "Norstride Inc.", the Norstride logo (the "Arrow-through-N" mark), the wordmark, the lockup, and the slogan "AI, at founder speed." are trademarks of Norstride Inc.. You may not use any of these in a way that suggests sponsorship, endorsement, or affiliation without our prior written permission.
5.5 If you believe content on the Site infringes your copyright, please send a written notice to legal@norstride.com with: identification of the copyrighted work, identification of the allegedly infringing material with a URL, your contact information, a statement that you have a good-faith belief that the use is not authorized, a statement under penalty of perjury that the information is accurate and that you are authorized to act for the rights holder, and your physical or electronic signature.
6. Submissions and feedback
6.1 If you send us ideas, suggestions, feedback, comments, code snippets, links, or other materials through the Site or by email ("Submissions"), you grant Norstride a non-exclusive, perpetual, irrevocable, worldwide, royalty-free, sublicensable license to use, reproduce, modify, adapt, publish, and distribute those Submissions for any lawful business purpose, without compensation to you.
6.2 You represent and warrant that any Submission you send us (a) is yours to send, (b) does not violate any third party's intellectual-property, privacy, or other rights, and (c) does not contain confidential information of any third party.
6.3 Do not send us anything you consider confidential through the contact form, email, or social channels. If you have confidential information related to a potential engagement, sign a Mutual Non-Disclosure Agreement with us first. Email legal@norstride.com to request one.
7. Third-party services and links
7.1 The Site may contain links to third-party websites and resources (for example, our LinkedIn, GitHub, and X profiles, links to articles, or links to our service providers' policies). Those websites are not under our control, and we are not responsible for their content, their policies, or their practices.
7.2 Inclusion of a link does not imply endorsement of the linked site. You access third-party sites at your own risk and subject to their terms.
7.3 The Site uses third-party infrastructure providers (web hosting, content delivery, web fonts) as described in our Privacy Policy. We are not responsible for outages or failures attributable to those providers.
8. Disclaimers
8.1 The Site, the Playbook, and all content are provided "as is" and "as available." To the fullest extent permitted by law, Norstride disclaims all warranties of any kind, whether express, implied, statutory, or otherwise, including without limitation warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, completeness, and quiet enjoyment.
8.2 We do not warrant that the Site will be uninterrupted, error-free, secure, free from viruses, or that any defect will be corrected. We do not warrant that the information on the Site is accurate, complete, or current.
8.3 Nothing on the Site (including the Playbook and articles in /insights/) constitutes legal, accounting, tax, financial, medical, or other professional advice. You should consult qualified professionals for your specific situation.
8.4 Some jurisdictions do not allow the exclusion of certain warranties. To the extent any such limitation does not apply to you, the exclusions in this Section 8 apply to the maximum extent permitted by law.
9. Limitation of liability
9.1 To the maximum extent permitted by law, in no event will Norstride Inc. or its directors, officers, employees, contractors, agents, suppliers, or licensors be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages — including without limitation lost profits, lost revenue, lost data, loss of business opportunity, business interruption, or cost of substitute services — arising out of or relating to your access to or use of the Site, the Playbook, or any other content, even if we have been advised of the possibility of such damages.
9.2 To the maximum extent permitted by law, Norstride's aggregate liability for any and all claims arising out of or relating to the Site, the Playbook, or these Terms is limited to one hundred US dollars (USD $100).
9.3 This Section 9 does not govern engagements entered into under a signed MSA. The liability provisions of the signed MSA control instead and supersede this Section as to that engagement.
9.4 Some jurisdictions do not allow the exclusion or limitation of certain damages. To the extent any such limitation does not apply to you, the limitations in this Section 9 apply to the maximum extent permitted by law.
10. Indemnification
10.1 You agree to defend, indemnify, and hold harmless Norstride Inc., its directors, officers, employees, contractors, and agents from and against any claim, demand, action, loss, damage, liability, cost, or expense (including reasonable attorneys' fees) arising out of or relating to (a) your breach of these Terms, (b) your use of the Site or the Playbook in violation of applicable law, (c) any Submission you send us, or (d) any content or data you transmit through the Site.
10.2 We reserve the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which case you will cooperate with us in asserting any available defenses. You will not settle any matter without our prior written consent.
11. Termination and modification
11.1 We may suspend, terminate, or restrict access to the Site, the Playbook, or any portion of either, for any visitor at any time, with or without notice, for any reason or no reason, including for breach of these Terms.
11.2 We may modify, suspend, or discontinue any part of the Site (including specific features, articles, or downloads) at any time, with or without notice. We are not liable to you or any third party for any such modification, suspension, or discontinuation.
11.3 Sections that by their nature should survive termination — including Sections 5 (IP), 6 (Submissions), 8 (Disclaimers), 9 (Liability), 10 (Indemnification), 12 (Governing law), 13 (Disputes), and 14 (General) — will survive.
12. Governing law and venue
12.1 These Terms are governed by the laws of the State of Wyoming, USA, without regard to its conflict-of-laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
12.2 Subject to Section 13 (Disputes), the state and federal courts located in the State of Wyoming have exclusive jurisdiction over any action arising out of or relating to these Terms or the Site, and you consent to personal jurisdiction in those courts.
13. Disputes
13.1 Informal resolution first. Before filing any formal legal action, you agree to send a written description of the dispute to legal@norstride.com or to the mailing address in Section 1, and to give us 60 days to attempt to resolve it informally and in good faith.
13.2 No class actions. You and Norstride agree that any dispute will be resolved on an individual basis only. You and Norstride waive any right to participate in a class, collective, representative, or consolidated action.
13.3 Time limit. Any cause of action arising out of or relating to the Site or these Terms must be commenced within one (1) year after the cause of action arose. Otherwise, the cause of action is permanently barred.
13.4 Some jurisdictions do not allow the limitation of claims or the waiver of class actions. To the extent any such limitation does not apply to you, the provisions of this Section 13 apply to the maximum extent permitted by law.
14. General provisions
14.1 Entire agreement. These Terms, together with the Privacy Policy and any signed MSA between you and Norstride, constitute the entire agreement between you and Norstride concerning the subject matter and supersede all prior or contemporaneous understandings.
14.2 Severability. If any provision of these Terms is held unenforceable, that provision will be enforced to the maximum extent permissible and the remaining provisions will remain in full force.
14.3 No waiver. Our failure to enforce a provision is not a waiver of our right to do so later.
14.4 Assignment. You may not assign or transfer these Terms or any rights under them without our prior written consent. We may assign these Terms freely, including in connection with a merger, acquisition, reorganization, or sale of substantially all of our assets.
14.5 No agency. No partnership, joint venture, employment, or agency relationship is created between you and Norstride by these Terms.
14.6 Force majeure. Norstride is not liable for any delay or failure to perform caused by circumstances beyond its reasonable control, including acts of God, natural disasters, war, terrorism, civil unrest, government action, labor disputes, infrastructure outages, or pandemics.
14.7 Notices. Notices to Norstride must be sent to legal@norstride.com or to the mailing address in Section 1. Notices to you may be sent to the email address you provided or by posting on the Site.
14.8 U.S. government users. The Site is provided as a "Commercial Item" as defined at 48 C.F.R. §2.101, consisting of "Commercial Computer Software" and related documentation. Use by U.S. government end users is subject only to the rights granted in these Terms.
15. Changes to these Terms
15.1 We may update these Terms from time to time. The current version always lives at https://norstride.com/terms/, with the date of last revision in the header.
15.2 If we make material changes, we will post a notice on the Site for at least 30 days before the changes take effect. Your continued use of the Site after the effective date constitutes acceptance of the updated Terms. If you do not agree, stop using the Site.

17. Definitions
- "MSA" means the Master Services Agreement signed between Norstride and a paying client to govern an engagement.
- "Norstride" means Norstride Inc., located in Cheyenne, WY 82001, USA.
- "Playbook" means the free downloadable PDF made available on the Site at
norstride-playbook.pdf. - "Site" means
norstride.comand any subdomain operated by Norstride. - "Submissions" has the meaning given in Section 6.
- "Terms" means this Terms of Service document.
- "You" / "your" means any individual or entity accessing or using the Site, downloading the Playbook, or otherwise interacting with Norstride through the Site.
